Terms & Conditions – SeaZoom, Just-in-Time (JIT) Shipping Advisory Services

1. Acceptance of Terms
   By accessing or using the Just-in-Time (JIT) vessel arrival advisory services provided by SeaZoom JIT / JIT Shipping Solutions (“we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you must immediately refrain from using our services.
2. Nature of Services
   We provide advisory services to optimize vessel speed and arrival timing for JIT berth windows at ports including, but not limited to, Southampton, Felixstowe, and Rotterdam. Services may include:

• Predictive scheduling and routing advice,
• 30-day pilot programs,
• Fuel savings and emissions calculations, and
• EU ETS 2025 compliance reporting.

All information is provided for informational and advisory purposes only. Users must exercise their own professional judgment when acting on our recommendations.

3. Risks & Disclaimers
   By using our services, you acknowledge and accept the following inherent risks:

3.1 Data Inaccuracy & System Errors
AIS data, weather forecasts, and port status information may be subject to delays, inaccuracies, or errors. We do not guarantee accuracy, timeliness, or completeness.

3.2 Weather Disruptions
Adverse weather is unpredictable and may significantly impact vessel routing, speed, and port operations. Weather may override any JIT recommendations.

3.3 Port Congestion & Berth Window Shifts
Port conditions are dynamic. Berth availability and waiting times are only estimates. Port authorities retain full control over berth assignments and may alter windows without notice.

3.4 Operator & Master’s Discretion
The vessel’s Master has ultimate authority and responsibility for navigation and safety. All advisory information is non-binding and may be disregarded at the Master’s discretion.

4. Pilot Program

• A 30-day pilot program is available on up to 2 vessels.
• If no savings are achieved, the pilot is free of charge.
• If savings are demonstrated, post-pilot fees apply (20–30% of verified savings, typically €400–€3,000 per voyage).
• Clients are responsible for providing accurate vessel and voyage data.

5. Fees & Payment Terms

• Invoices are issued monthly based on verified savings.
• Payment is due within 30 days of invoice issuance.
• Late or non-payment may result in suspension of services without liability on our part.

6. Intellectual Property
All tools, models, reports, calculations, and software (including but not limited to the Savings Calculator) remain our sole property. Clients may use them only for their intended purpose and only during the service period.

7. Limitation of Liability
You expressly agree that:

• We are not liable for financial losses, delays, demurrage, damages, penalties, or costs incurred due to reliance on our service.
• We are not responsible for port conditions, inaccurate client data, weather, congestion, or external disruptions beyond our control.
• All operational decisions remain the sole responsibility of the vessel operator and/or Master.
• Our maximum liability, if any, shall not exceed the total fees paid by the client under these Terms.

8. Indemnification
You agree to indemnify, defend, and hold harmless SeaZoom JIT / JIT Shipping Solutions, its affiliates, employees, and agents from any claims, liabilities, damages, or expenses arising out of your use of our services, reliance on our advisories, or breach of these Terms.

9. Termination

• We may terminate services with 14 days’ written notice if you breach these Terms.
• Clients may terminate services with 30 days’ written notice. Termination during a pilot will forfeit any ongoing benefits.

10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. All disputes will be subject to the exclusive jurisdiction of the courts of London, England.

11. Amendments
We reserve the right to update or modify these Terms at any time. Updates will be communicated via email or published on our website. Continued use of our services after such notice constitutes acceptance of the revised Terms.
